S&C's ESOP trustee, GreatBanc Trust, approved the election of three new members to the S&C Board of Directors. John Estey, S&C's Executive Chairman, explained, 'We are truly delighted to welcome Chris Curtis, Jane Irwin, and Jim Kelly. Each brings unique and valuable talents. We set out to add a few more members because we recognized a need for more directors with knowledge in some key areas. Chris brings us global experience in the electrical industry and manufacturing, Jane has excellent ESOP and compensation experience, and Jim has terrific knowledge of electric utilities and developing technologies.
Christopher B. Curtis is the former president and CEO of Schneider Electric NA. During his tenure, he oversaw all its operations in the United States, Canada, and Mexico. Chris also served as senior executive VP and member of the Corporate Executive Committee of the parent company in France, Schneider Electric SA.
Chris is a leading authority on 'Intelligent Energy,' and in his two decades with Schneider, he directed their efforts to drive energy efficiency and sustainability around the globe. In 2014 he will serve as Chair of the Board of Governors for the National Electrical Manufacturers Association (NEMA). Chris has extensive strategic and operating expertise in areas of general management, mergers and acquisitions, manufacturing, sales and marketing, services, operations, industry/government affairs, and investor relations.
Jane Irwin comes to the board with over 10 years of global company experience with Potash Corporation of Saskatchewan, Inc. (PotashCorp), and 17 years with Hewitt Associates (now AONHewitt). As PotashCorp's senior VP of administration, Jane was responsible for all matters related to executive compensation and human resources for employees in the U.S., Canada, and Trinidad. This included strategizing for performance-based equity, salary and benefit plan design, succession planning and leadership development, and mergers and acquisitions. She participated in the creation of best practice processes in corporate reporting, governance, social responsibility, ethics and compliance, risk management, and philanthropy.
At Hewitt, Jane worked with clients to design, implement, and administer benefits and compensation programs. She helped develop and lead a specialized consulting practice for broad-based employee ownership programs, including ESOPs, stock options, and other equity and performance sharing vehicles for global companies. Earlier, Jane practiced law in Detroit and Chicago, specializing in employee benefits, executive compensation, and tax law.
James A. Kelly retired from Edison International in July 2011 after almost 38 years of service. Jim was the senior VP of transmission & distribution for Southern California Edison, which operates an electrical grid of over 12,000 miles of transmission and 100,000 miles of distribution lines across 50,000 square miles, with more than 900 substations. He is one of the early pioneers of the Smart Grid, with in-depth experience in planning, engineering, and designing electrical grids, as well as research and development, safety, training, environmental regulation, permitting, and licensing.
Since retirement, Jim has advised or directed a number of firms in the energy arena, including ARES, Coachella Partners, On-Ramp Wireless, Blue Earth Energy, Muni-Fed Streetlight Solutions, Sandidge Consulting, and GRIDiant, and serves as an advisor and consultant for governmental and private clients.
